Services Description

Vivid Spire provides curated morning briefing services designed to deliver relevant intelligence to professionals. Our services include:

• Daily and weekly briefings delivered via email or secure portal
• Access to analyst commentary and research
• Personalised coverage calibration based on your stated needs
• Additional research and consultation services as described in your service tier

Account Registration

To access our services, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorised use of your account

Subscription and Payment

Our services are provided on a subscription basis. By subscribing, you agree to:

• Pay all fees associated with your chosen service tier
• Subscriptions renew automatically unless cancelled before the renewal date
• Fees are non-refundable except as stated in our satisfaction guarantee
• Price changes will be communicated at least 30 days before taking effect

Satisfaction Guarantee

New subscribers may request a full refund within the first 30 days of their subscription if they are not satisfied with the service. To request a refund, contact [email protected].

Cancellation

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial billing periods.

Intellectual Property

All content provided through our services, including but not limited to briefings, analysis, commentary, graphics, and software, is the property of Vivid Spire or our licensors and is protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to access and use our content for your personal, non-commercial purposes. You may not:

• Copy, reproduce, distribute, or publicly display our content without permission
• Modify, create derivative works from, or reverse engineer our content
• Share your account credentials or briefings with non-subscribers
• Use our content for competitive analysis or to develop competing services
• Remove any copyright or proprietary notices from our content

Acceptable Use

You agree not to use our website or services to:

• Violate any applicable laws or regulations
• Infringe on the rights of others
• Transmit harmful, offensive, or objectionable content
• Interfere with or disrupt our services or servers
• Attempt to gain unauthorised access to our systems

Disclaimer of Warranties

Our total liability for any claims arising from your use of our services shall not exceed the amount you paid to us in the twelve months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Vivid Spire and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of our services, your violation of these Terms, or your infringement of any third-party rights.

Modifications to Services

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time. We will provide reasonable notice of significant changes that materially affect your use of the services.

Governing Law

These Terms of Use shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Ontario, Canada.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

Entire Agreement

These Terms of Use, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Vivid Spire regarding your use of our services.

Changes to Terms
